Terms & Conditions

These Terms & Conditions ("Terms") are a legal agreement between you, whether personally or on behalf of an entity ("you" or "Customer"), and QUICK N EASY CORPORATE SERVICES PLT (Registration No. 202304002234, LLP0036176-LGN) ("we", "us", "our" or the "Company"), the operator of the QE AI platform ("QE AI" or the "Service").

By registering for, accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by any policies referenced herein. If you do not agree, you must not access or use the Service. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation to these Terms.

• Service — the QE AI platform, together with its dashboards, control panels, automations, AI agents, application programming interfaces and any related software or support we provide.
• Account — the sub-account, workspace or login credentials issued to you to access the Service.
• End Customer — a contact, recipient or third party you communicate with or manage through the Service.
• Content — any data, messages, templates, contact records, media or other material you submit to, generate within, or transmit through the Service.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

You agree to provide accurate, current and complete information when registering and to keep it up to date. You must notify us promptly of any unauthorised use of your Account or any other breach of security. We are not liable for any loss arising from your failure to safeguard your credentials.

QE AI is a communication, automation and AI-agent platform that lets you connect your business software, manage contacts, and send messages across channels such as WhatsApp, SMS and email, including through visual workflows and automated agents.

The Service is provided on a subscription basis. We may add, modify or remove features from time to time. Certain features may depend on third-party providers and networks that are outside our control, and their availability is not guaranteed.

You agree not to use the Service to:

• violate any applicable law, regulation or third-party right, including intellectual property and data protection laws;
• send unlawful, fraudulent, misleading, harassing, defamatory, obscene or otherwise objectionable content;
• transmit malware, or attempt to gain unauthorised access to, interfere with, or disrupt the Service or its underlying infrastructure;
• scrape, harvest or collect information about others without a lawful basis and their consent;
• resell, sublicense or provide access to the Service to third parties except as expressly permitted in writing; or
• circumvent usage limits, security measures or the terms of any third-party network we rely on.

We reserve the right, but are not obligated, to monitor use of the Service and to investigate and take appropriate action against any suspected breach of these Terms.

The Service enables you to send messages to your End Customers. You are solely responsible for the content of those messages and for ensuring that you have a lawful basis and valid consent to contact each recipient.

• You must obtain and maintain appropriate opt-in consent before messaging any recipient, and honour opt-out or unsubscribe requests promptly.
• You must comply with the acceptable-use, commerce and messaging policies of the underlying channels (including WhatsApp, SMS carriers and email providers), as amended from time to time.
• You must not use the Service to send unsolicited bulk messages ("spam") or to engage in any activity that could cause a messaging number, sender identity or account to be blocked, throttled or banned.

The Service may integrate with or link to third-party tools, networks and websites that we do not own or control. Such integrations are provided "as is" and without warranty or endorsement.

Your use of any third-party service is governed by that provider's own terms and privacy policies, and is at your own risk. We are not responsible or liable for the content, availability, accuracy, or practices of any third party, and any dispute regarding a third-party service should be directed to that provider.

You agree to pay all fees applicable to your subscription and usage of the Service. Unless stated otherwise, fees are quoted exclusive of Malaysian Sales and Service Tax (SST), which will be added where applicable at the prevailing rate. If the applicable tax rate changes, fees will be adjusted accordingly.

You must provide accurate and complete billing information. We may refuse or cancel any order, and may suspend the Service, if payment is overdue or if we suspect fraudulent or unauthorised activity. Except where required by law or expressly stated in a separate policy, fees paid are non-refundable.

Prices for the Service are subject to change. For active subscriptions, we will give you at least fourteen (14) days' notice of a price increase, after which the new price will apply on your next billing cycle. We may modify, suspend or discontinue any part of the Service at any time, and will use reasonable efforts to give notice of material changes.

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. Access may be limited by maintenance, quantity, usage caps, fair-use thresholds, or factors outside our control, including third-party network conditions.

We may impose reasonable limits on usage to protect the integrity and performance of the Service for all users, and may restrict or suspend usage that we reasonably consider excessive, abusive or harmful.

The Service, including its software, design, text, graphics, and trademarks, is owned by or licensed to the Company and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

You may not copy, modify, distribute, sell, reverse-engineer or create derivative works from any part of the Service except to the extent expressly permitted by law or by us in writing.

You retain ownership of the Content you submit to the Service. You grant us a worldwide, non-exclusive licence to host, process and transmit your Content solely to the extent necessary to provide, maintain and improve the Service and to comply with law.

You are responsible for the accuracy, quality and legality of your Content and for having the necessary rights and consents to use it with the Service. You are responsible for maintaining your own backups of any Content that is important to you.

We process personal data in accordance with the Malaysian Personal Data Protection Act 2010 (PDPA) and our Privacy Notice. Where you use the Service to process personal data of your End Customers, you act as the data user/controller for that data and are responsible for providing any required notices and obtaining any required consents; we process such data on your behalf and on your instructions.

Each party agrees to comply with its respective obligations under applicable data protection law. You must not upload personal data to the Service unless you are legally permitted to do so.

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that messages will be delivered, or that any results obtained from the Service will be accurate or reliable. You use the Service at your own risk.

To the maximum extent permitted by law, in no event will the Company, its affiliates, officers, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with the Service, whether based in contract, tort or otherwise, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total amount paid by you to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Malaysian law, including liability for death or personal injury caused by negligence, or for fraud.

You agree to indemnify, defend and hold harmless the Company, its affiliates, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or connected with your use of the Service, your Content, your messaging activity, or your breach of these Terms or any applicable law.

You may stop using the Service and terminate your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to do so by law or by a third-party network, or if we reasonably consider your use to pose a risk to the Service or to others.

On termination, your right to use the Service ends, and you remain liable for all charges accrued up to the date of termination. Provisions which by their nature should survive termination (including sections on intellectual property, liability, indemnification and governing law) will survive.

We may update these Terms from time to time. For material changes, we will provide at least fourteen (14) days' notice by posting the updated Terms with a revised effective date or by other reasonable means. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

Entire agreement. These Terms, together with any policies referenced herein, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.

These Terms are governed by and construed in accordance with the laws of Malaysia. You agree that the courts of Malaysia sitting at Kuala Lumpur will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service.
